1. Introduction and Definitions
These Terms of Business ("Agreement") govern the relationship between Fortuna Holding S.à r.l. ("Company", "we", "us"), a company registered in Luxembourg at 5, rue Charles Darwin, 1433 Luxembourg (Incorporated: 25/07/2016), and you ("Client", "you", "your").
By opening an account and using our services, you agree to be bound by these Terms of Business, our Privacy Policy, Risk Disclosure Statement, and any other applicable policies.
1.1 Key Definitions
- "Account" means your trading account with the Company
- "Platform" means the electronic trading system provided by the Company
- "Transaction" means any trade executed through the Platform
- "Business Day" means any day banks are open for business in London
- "Margin" means funds required to open or maintain a position
2. Account Opening and Eligibility
2.1 Eligibility Requirements
To open an account, you must:
- Be at least 18 years of age
- Not be a resident of a restricted jurisdiction
- Have full legal capacity to enter into this Agreement
- Provide accurate and complete information during registration
- Complete our verification (KYC) process
2.2 Account Types
We offer various account types with different features, minimum deposits, and trading conditions. Full details of each account type are available on our website.
2.3 Account Verification
You must provide valid identification documents and proof of address to complete the verification process. We reserve the right to request additional documentation at any time.
3. Trading Services
3.1 Order Execution
We execute orders on a best-efforts basis at the best available price. Market orders are executed at the prevailing market price, which may differ from the quoted price, particularly during volatile market conditions.
3.2 Leverage and Margin
We offer leverage up to 1:500 depending on the instrument and your account type. You are responsible for maintaining sufficient margin in your account. We may close positions without notice if margin requirements are not met.
3.3 Trading Hours
Trading hours vary by instrument and are subject to change. We may suspend trading at any time for maintenance, market conditions, or other reasons.
4. Deposits and Withdrawals
4.1 Deposits
Minimum deposit requirements vary by account type. We accept deposits via bank transfer, credit/debit cards, and approved electronic payment methods. Deposits are credited upon receipt and verification.
4.2 Withdrawals
Withdrawal requests are processed within 1-3 business days. Withdrawals must be made to the same source used for deposits, subject to anti-money laundering requirements. We may require additional verification before processing withdrawals.
4.3 Fees
While we do not charge deposit fees, payment providers may apply their own charges. Withdrawal fees may apply depending on the method and amount.
5. Client Obligations
You agree to:
- Keep your account credentials secure and confidential
- Notify us immediately of any unauthorized account access
- Use the Platform only for legitimate trading purposes
- Not engage in market manipulation, fraud, or abusive trading practices
- Comply with all applicable laws and regulations
- Maintain accurate and up-to-date personal information
- Pay all applicable fees, taxes, and charges
6. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for losses resulting from market movements
- We are not liable for system failures or technical issues beyond our control
- We are not liable for losses due to force majeure events
- Our total liability shall not exceed the net deposits in your account
Nothing in these Terms limits our liability for fraud, gross negligence, or death/personal injury caused by our negligence.
7. Account Termination
7.1 Termination by Client
You may close your account at any time by contacting customer support. All open positions must be closed and any outstanding amounts settled before account closure.
7.2 Termination by Company
We may suspend or terminate your account at any time if:
- You breach any term of this Agreement
- We suspect fraudulent or illegal activity
- You fail to provide requested information or documents
- Required by law or regulatory authority
8. Dispute Resolution
Any disputes arising from this Agreement shall first be addressed through our internal complaints procedure. If not resolved, disputes may be referred to the Financial Ombudsman Service or resolved through arbitration in accordance with English law.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.
10. Amendments
We may amend these Terms at any time. Material changes will be communicated to you in advance. Continued use of our services after amendments constitutes acceptance of the updated Terms.
